Securities and Capital Markets Mid-Level Attorney
Associate / Senior Associate / Attorney · Securities / Capital Markets
Rochester, NY; Buffalo, NY; or Albany, NY
About the role
A prominent regional law firm is seeking a mid- to senior-level Securities and Capital Markets associate to join its practice in Upstate New York. The successful candidate will advise public company clients on '33 Act and '34 Act compliance, registered offerings, corporate governance, and private capital transactions. Operating under a true lockstep partnership structure that eschews origination credits in favour of mutual collaboration and mentorship, the firm offers meaningful early-stage responsibility and a transparent, single-tier path to full equity partnership.
What we are looking for
• Juris Doctor (JD) degree with active New York State Bar admission (or eligibility to sit for the bar / admit by motion). • 4–8 years of law firm experience focused on '33 Act and '34 Act securities and capital markets matters. • Proven track record advising public companies on periodic Exchange Act reporting (10-K, 10-Q, 8-K), proxy statements, Section 16 filings, and corporate governance. • Experience managing Securities Act registered offerings, including shelf registrations, takedowns, and secondary offerings. • Exposure to M&A-related securities matters (e.g. S-4 filings) and exempt transactions (Reg D, Rule 144A) is advantageous.
